1. Acceptance of Terms

By accessing or using AICyclone's website or services ("Services"), you agree to be bound by these Terms of Service. If you do not agree, you may not access or use our Services. These Terms apply to all visitors, clients, and users of AICyclone.

2. Description of Services

AICyclone provides AI-powered marketing services including, but not limited to:

• AI-generated social media content and campaign management.
• Fictitious AI influencer persona creation and deployment.
• Automated content scheduling and platform distribution.
• Analytics reporting and campaign performance dashboards.

All services are subject to availability and may be modified or discontinued at any time without notice.

3. AI-Generated Content

You acknowledge that all content produced through AICyclone's platform is generated by artificial intelligence systems. While we strive for quality and accuracy, AI-generated content may contain errors or inaccuracies. Clients are responsible for reviewing all content prior to publication. AICyclone is not liable for content that is published without appropriate client review and approval.

4. AI Personas — Fictional Nature

All influencer personas created by AICyclone are entirely fictional. They do not represent real individuals. AICyclone personas must never be presented as real humans, and clients must not use these personas to impersonate, defame, or misrepresent any real person or entity. Violation of this clause constitutes immediate grounds for termination of service.

5. Client Responsibilities

• Ensure all campaign briefs and brand assets provided are owned or licensed by the client.
• Review and approve all content before it is published.
• Comply with platform-specific terms of service (Meta, TikTok, YouTube, etc.).
• Ensure AI-generated content complies with applicable advertising laws and disclosure requirements.
• Maintain the confidentiality of agency portal credentials.

6. Intellectual Property

Upon full payment, clients receive a non-exclusive licence to use AI-generated content produced for their campaigns. AICyclone retains the right to use anonymised outputs as portfolio examples unless otherwise agreed in writing. Underlying AI models, workflows, and proprietary tooling remain the exclusive property of AICyclone.

7. Payments and Refunds

Service fees are outlined in individual client agreements. Payments are due according to the agreed billing schedule. AICyclone does not offer refunds for completed work. Disputes must be raised within 14 days of delivery. Chargebacks initiated without prior dispute resolution constitute a breach of these Terms.

8. Limitation of Liability

To the maximum extent permitted by applicable law, AICyclone shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services. Our total liability for any claim shall not exceed the amount paid by the client in the three months preceding the claim.

9. Prohibited Uses

• Using AICyclone services to produce harmful, illegal, or defamatory content.
• Attempting to reverse-engineer proprietary AI workflows.
• Reselling or sublicensing AICyclone services without written consent.
• Using AI personas to deceive platform algorithms in violation of platform policies.

10. Termination

AICyclone reserves the right to suspend or terminate access to Services at any time for violation of these Terms. Clients may terminate their agreement with 30 days' written notice. Upon termination, access to the agency portal and all associated resources will be revoked.

11. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration.

12. Modifications

We reserve the right to update these Terms at any time. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms. For significant changes, we will provide notice via email to registered clients.
